This Professional Services Agreement explains the general terms that apply when you hire Jonathan Moore for professional technical services, including website development, WordPress work, server administration, cybersecurity assistance, consulting, troubleshooting, maintenance, custom programming, or related technical services.
By requesting, approving, purchasing, or using any professional service offered through jmoorewv.com, you agree to the terms outlined in this agreement unless a separate written agreement has been signed.
Services Provided
Professional services may include website development, WordPress customization, plugin development, server setup, server troubleshooting, malware review, security hardening, performance optimization, technical consulting, software development, script creation, database work, migration assistance, or other technical services agreed upon in writing.
The exact scope of work will depend on the specific project, request, estimate, invoice, written proposal, email agreement, or other documented communication between you and Jonathan Moore.
Scope of Work
Only the work specifically agreed upon in writing is included in the project or service request. Any work outside the approved scope may require a separate estimate, additional payment, or a new agreement.
Examples of additional work may include extra revisions, new features, design changes, emergency troubleshooting, third-party service setup, content entry, plugin replacement, server migration, malware cleanup, custom coding, or support for issues not included in the original request.
If the scope of a project changes after work has started, pricing, deadlines, and deliverables may also change.
Client Responsibilities
You are responsible for providing accurate information, required access, account credentials, project details, written approvals, content, images, licenses, hosting access, domain access, software access, and any other materials needed to complete the requested work.
Delays in providing required information, access, approvals, or materials may delay the project. I am not responsible for missed deadlines or incomplete work caused by missing, incorrect, expired, or restricted access.
You are also responsible for ensuring that you have the legal right to provide any content, images, software, data, credentials, or materials used in the project.
Access and Security
Some services may require temporary access to websites, servers, hosting accounts, domain registrars, databases, WordPress dashboards, control panels, email systems, APIs, third-party platforms, or other systems.
You are responsible for creating secure access whenever possible, limiting access to what is needed, and removing or changing access credentials after the work is complete.
I will make reasonable efforts to protect any access credentials or sensitive technical information provided during a project. However, you remain responsible for your own accounts, systems, backups, passwords, security settings, and access controls.
Pricing and Payment
Pricing may be based on an hourly rate, fixed project cost, emergency service rate, consulting rate, maintenance plan, written estimate, invoice, or other agreed arrangement.
Payment terms will be provided before work begins or included with the invoice, estimate, or written agreement. Some projects may require a deposit before work starts.
Unless otherwise agreed in writing, invoices are due upon receipt. Work may be paused, delayed, or withheld if payment is late, incomplete, disputed, or declined.
Deposits
Deposits may be required before starting custom development, consulting, server work, website projects, security work, or other professional services.
Deposits reserve time, cover planning, and allow work to begin. Unless otherwise stated in writing, deposits are non-refundable once work has started, time has been reserved, research has been performed, access has been reviewed, or project planning has begun.
Refunds
Professional services are based on time, labor, technical knowledge, planning, troubleshooting, development, and consulting. For that reason, payments for completed work are not refundable unless a separate written agreement says otherwise.
If a project is canceled before completion, you may still be responsible for payment for work already completed, time already spent, third-party costs already incurred, and any non-refundable expenses related to the project.
Refunds are not provided for issues caused by client changes, third-party software, hosting limitations, plugin conflicts, server restrictions, expired licenses, missing access, outdated systems, external service outages, or changes made by another person after the work is complete.
Revisions and Changes
Reasonable revisions may be included when specifically stated in the project scope. Revisions are intended to refine approved work, not to add new features, redesign completed work, or change the original direction of the project.
Requests for additional changes, new features, major revisions, new pages, new functionality, or work outside the original agreement may require additional payment.
Deadlines and Timelines
Any timeline or completion estimate is based on the information available at the time it is provided. Timelines may change because of project complexity, client delays, third-party issues, hosting problems, software conflicts, emergency requests, unclear requirements, or other circumstances outside my control.
I will make reasonable efforts to complete work in a timely manner, but no deadline is guaranteed unless it is specifically agreed upon in writing.
Emergency Services
Emergency services may include urgent troubleshooting, malware review, website recovery, server repair, downtime investigation, security incidents, broken website repairs, or other time-sensitive technical work.
Emergency work may be billed at a higher rate than standard work. Emergency service does not guarantee that every issue can be fixed, recovered, reversed, cleaned, restored, or resolved.
Some emergencies may involve issues caused by hosting providers, third-party software, expired licenses, missing backups, corrupted data, malware damage, DNS propagation, payment failures, registrar problems, or other factors outside my control.
Third-Party Software and Services
Projects may involve third-party software, plugins, themes, APIs, hosting providers, domain registrars, payment processors, analytics platforms, security tools, email services, or other outside systems.
I am not responsible for third-party pricing changes, service outages, removed features, security issues, license restrictions, support decisions, documentation changes, compatibility problems, or errors caused by third-party products or services.
You are responsible for maintaining valid licenses, subscriptions, accounts, renewals, API keys, hosting plans, and other third-party requirements unless otherwise agreed in writing.
Backups and Data
You are responsible for maintaining reliable backups of your website, server, database, files, email, applications, and other important data before any work begins.
I may create backups as part of a project when appropriate, but those backups are not a substitute for your own backup system. I am not responsible for data loss, corrupted files, missing backups, failed restores, incomplete backups, or backup systems controlled by third parties.
Security Work
Security-related services may include review, cleanup, hardening, monitoring recommendations, malware investigation, firewall configuration, permission review, server review, or other defensive work.
No security service can guarantee that a website, server, application, account, or system will never be hacked, infected, exploited, interrupted, or misused. Security work reduces risk, but it cannot remove every possible threat.
You are responsible for following recommended security practices, maintaining updates, using strong passwords, protecting credentials, renewing licenses, reviewing user access, monitoring activity, and maintaining backups after the work is complete.
No Guaranteed Results
I do not guarantee specific business results, search rankings, traffic levels, revenue, advertising performance, conversion rates, uptime, page speed scores, security outcomes, software compatibility, or third-party approval.
Technical work can improve a website, server, system, or application, but results may vary depending on hosting, software, traffic, third-party tools, user behavior, business decisions, search engines, external services, and other factors outside my control.
Ownership and Licensing
Unless otherwise agreed in writing, you own the final custom work created specifically for you after full payment has been received.
I retain ownership of my pre-existing code, tools, libraries, methods, processes, templates, snippets, documentation, internal systems, development techniques, and reusable components.
If a project includes third-party software, open-source software, plugins, themes, frameworks, libraries, fonts, images, or other licensed materials, those items remain subject to their original licenses and terms.
Portfolio Use
Unless you request otherwise in writing, I may reference completed work in my portfolio, website, social media, project descriptions, or professional materials.
I will not knowingly publish private credentials, confidential information, sensitive data, internal business details, or non-public security information as part of portfolio use.
Confidentiality
I will make reasonable efforts to keep private information, credentials, business details, technical details, and sensitive project information confidential.
Confidentiality does not apply to information that is already public, independently known, required by law, authorized for release, or necessary to discuss with a third-party provider in order to complete the requested work.
Limitation of Liability
To the fullest extent permitted by law, I am not liable for direct, indirect, incidental, consequential, special, punitive, or other damages resulting from professional services, technical work, consulting, troubleshooting, code, server changes, website changes, third-party services, delays, downtime, data loss, security incidents, or business losses.
Your use of professional services is at your own risk. The maximum liability for any claim related to professional services shall not exceed the amount paid for the specific service giving rise to the claim, unless otherwise required by law.
Termination of Services
I reserve the right to refuse, pause, or terminate services if a client fails to pay, provides false information, withholds required access, behaves abusively, requests illegal activity, requests unethical work, violates this agreement, or creates unreasonable risk.
You may cancel a project or service request at any time, but you remain responsible for payment for work already completed, time already spent, and expenses already incurred.
Relationship of the Parties
Professional services are provided as an independent contractor. Nothing in this agreement creates an employment relationship, partnership, joint venture, agency relationship, or exclusive business relationship.
Policy Updates
This Professional Services Agreement may be updated from time to time. Any changes will be posted on this page with an updated effective date.
